This Platform Science Supplier Code of Conduct applies to all vendors that provide services, materials, components or finished products to Platform Science and sets forth the minimum standards of business conduct we expect from our suppliers. Suppliers are expected to conduct themselves with integrity and know and follow all laws and regulations applicable to them. Suppliers will only use subcontractors and suppliers who also adhere to the same standards. Platform Science expects that suppliers will actively audit and monitor their own day-to-day management process with respect to this Supplier Code of Conduct.
Speed Guidelines
1. Business Integrity
Suppliers must not practice or tolerate any form of bribery, corruption, extortion, or embezzlement. Suppliers will not offer or accept bribes or other unlawful incentives to or from their business partners. Suppliers must be in full compliance with all applicable foreign and domestic anticorruption laws, including not engaging, directly or indirectly, in acts that would be deemed a violation of the U.S. Foreign Corrupt Practices Act (“FCPA”) if such acts were committed by a party subject to the FCPA.
2. Gifts and Entertainment
Suppliers are expected not to offer, give, promise, solicit or accept any gifts, meals, entertainment, travel or other business courtesies or benefits unless there is a legitimate business reason for doing so and the situation could not give rise to even an appearance of impropriety. All business courtesies and benefits given and received should be reasonable and consistent with industry and applicable country standards.
3. Fair Dealing and Competition
We expect our suppliers to deal fairly with Platform Science and its customers. We trust that our suppliers will not take unfair advantage of Platform Science’s relationships through manipulation, fraud, theft, concealment, abuse of privileged information, misrepresentation of material facts, or any other unfair dealing or practice. Suppliers will conduct their business in accordance with all applicable antitrust and competition laws.
4. International Trade Restrictions
Suppliers shall take measures to ensure that no transactions with Platform Science directly or indirectly involve parties that are subject to U.S. economic sanctions. In addition, Suppliers must maintain all required export licenses or other permits. Suppliers shall respect all laws and regulations governing the importation of goods into the United States.
5. Confidentiality
We expect our suppliers to ensure appropriate technical and organizational security measures to safeguard Platform Science’s confidential and personal information, and to ensure there is no disclosure of our confidential information to third parties without our prior authorization. Suppliers will make only appropriate use of confidential information and follow any data security policies and confidentiality requirements specified in contractual agreements with Platform Science. Suppliers shall comply with applicable privacy laws and regulations and reasonably respect the privacy rights of their employees and any other parties with whom they do business.
6. Labor Practice and Standards
Suppliers shall employ only those who are legally authorized to work and who choose to do so voluntarily. Suppliers must verify the age of all prospective employees and not use child labor in violation of applicable laws. Suppliers are required to comply with all applicable laws regarding wages and mandated benefits and must not discriminate against current or prospective employees on grounds of race, religion, gender, disability, national origin, age, veteran status, or any other protected basis. Suppliers are expected to be committed to creating a workplace free of harassment, including sexual harassment, sexual abuse, corporal punishment, mental or physical coercion or abuse.
7. Occupational Safety
Suppliers are expected to comply with applicable health and safety laws and regulations to provide and maintain a healthy and safe working environment. This includes ensuring that facilities are constructed and maintained in accordance with applicable law and that employees are provided with necessary equipment to help protect them from chemical, biological, and physical hazards, as well as on-site accidents.
8. Environment and Sustainability
Suppliers shall obtain, maintain, and adhere to all environmental permits required for their operations. In addition, Suppliers must comply with all applicable environmental laws and regulations, including, but not limited to, those relating to management of emissions, hazardous substances, wastewater, and solid waste. Suppliers should strive to maximize efficiency, reduce waste, and conserve the natural resources used in their operations, including water and energy.
9. Penalties for Noncompliance
Part of conducting business with Platform Science includes compliance with this Supplier Code of Conduct. We have the right to terminate business with a supplier who fails to adhere to the Supplier Code of Conduct.
